What is a GbR?
A GbR is a type of general partnership used by small or medium-sized businesses. In a GbR, two or more individuals pool their resources and skills to operate a business. These individuals are called Gesellschafter, and each must contribute a certain amount of money towards the formation of the business. The Gesellschafter share the profits and losses of the business in a predetermined ratio. This agreement is known as the Gesellschaftsvertrag and is a legally binding contract.
The GbR is obligated to have certain administrative duties such as filing annual financial statements and declaring taxes. These taxes include corporation tax, VAT, trade tax, and income tax.
